Terms of Service

1. Acceptance of These Terms

These Terms of Service (“Terms”) govern access to and use of software applications, websites, cloud services, and related technology services provided by Torah Tech Guy LLC (“Torah Tech Guy,” “we,” “our,” or “us”), collectively referred to as the “Services.”

By creating an account, clicking an acceptance button, signing an Order Form that incorporates these Terms, or accessing or using a Service after being presented with these Terms, you agree to be bound by them.

If you use a Service for a business, school, synagogue, nonprofit, or other organization (“Customer Organization”), you represent that you are authorized to act for that organization. In that case, “you” includes both you and the Customer Organization where appropriate.

If you do not agree to these Terms, do not use the Services.

 

2. Customer Agreements

A Customer Organization may have a separate Order Form, SaaS Subscription Agreement, Data Processing Addendum, statement of work, or other written agreement with Torah Tech Guy (“Customer Agreement”).

If these Terms conflict with a Customer Agreement, the Customer Agreement controls for that Customer Organization and the Services covered by it.

These Terms apply to individual Authorized Users in addition to any Customer Agreement.

 

3. Eligibility and Authorized Users

You must be legally able to enter into these Terms.

Customer Organizations may authorize employees, contractors, volunteers, members, parents, guardians, students, clients, or other individuals to use a Service (“Authorized Users”).

The Customer Organization is responsible for:

  • Deciding who may use its account;

  • Assigning appropriate roles and permissions;

  • Removing access when it is no longer authorized;

  • Informing Authorized Users of applicable policies; and

  • Activities conducted through its accounts.

Services are generally licensed to Customer Organizations rather than offered directly to children for personal use. When a Customer Organization authorizes a child to use a Service, the organization and, where applicable, the child’s parent or guardian are responsible for that authorization and use.

4. Accounts and Account Security

You agree to provide accurate account information and keep it current.

You are responsible for:

  • Protecting your login credentials;

  • Using appropriate account-security features;

  • Not sharing an individual account unless expressly permitted;

  • Activities conducted through your account; and

  • Promptly notifying us of suspected unauthorized access.

We may require password changes, multifactor authentication, identity verification, or other reasonable security measures.

5. Right to Use the Services

Subject to these Terms, any applicable Customer Agreement, and payment of required fees, Torah Tech Guy grants you a limited, non-exclusive, non-transferable right to access and use the Services for their intended business or organizational purposes.

You receive a right to use the Services, not ownership of the underlying software.

Your access is limited to the applicable subscription term, purchased plan, number of users, usage limits, and other conditions shown in the applicable Order Form, checkout page, or Customer Agreement.

 

6. Acceptable Use

You may not use the Services to:

  • Violate applicable law or another person’s rights;

  • Upload unlawful, fraudulent, defamatory, infringing, or malicious content;

  • Harass, threaten, exploit, or harm another person;

  • Distribute malware or harmful code;

  • Attempt to gain unauthorized access to an account, system, or network;

  • Circumvent security controls, permissions, or usage limits;

  • Interfere with the operation or availability of a Service;

  • Conduct penetration testing or vulnerability scanning without our written authorization;

  • Reverse engineer, decompile, or disassemble the Services except where applicable law prohibits this restriction;

  • Copy, sell, sublicense, rent, lease, or commercially exploit a Service except as expressly authorized;

  • Use automated tools to scrape or extract information except through an interface we expressly authorize;

  • Access a Service to build or assist in building a competing product;

  • Impersonate another person or misrepresent your identity or authority; or

  • Use the Services in a way that creates unreasonable risk or liability for Torah Tech Guy, a Customer Organization, or another person.

Reasonable evaluation of a Service for your own purchasing or operational decisions is permitted.

 

7. Customer Content

“Customer Content” means information, documents, files, messages, prompts, images, audio, video, records, and other material submitted to a Service by or for you or a Customer Organization.

As between you and Torah Tech Guy, you or the Customer Organization retain ownership of Customer Content.

You grant Torah Tech Guy a limited right to host, copy, transmit, process, display, modify, and otherwise use Customer Content as reasonably necessary to:

  • Provide and operate the Services;

  • Follow authorized instructions;

  • Maintain, secure, and support the Services;

  • Prevent fraud, misuse, and security incidents;

  • Comply with applicable law; and

  • Exercise rights provided in these Terms or a Customer Agreement.

 

You represent that you have the rights and authorization necessary to submit Customer Content and permit its processing through the Services.

You are responsible for the accuracy, legality, quality, and appropriateness of Customer Content.

 

8. Artificial-Intelligence Features

Some Services may include features powered by artificial intelligence (“AI Features”).

AI Features may process prompts, documents, instructions, and other Customer Content to generate summaries, recommendations, classifications, text, images, or other results.

AI-generated results may be:

  • Inaccurate or incomplete;

  • Outdated;

  • Similar or identical to results provided to others;

  • Unsuitable for a particular purpose; or

  • Ineligible for intellectual-property protection.

 

You are responsible for reviewing and verifying AI-generated results before using, publishing, or relying on them.

You may not rely solely on AI-generated results to make decisions that could materially affect a person’s rights, safety, employment, education, housing, credit, healthcare, legal interests, or access to essential services.

Unless expressly stated in a Customer Agreement, the Services do not provide legal, medical, financial, mental-health, or other licensed professional advice.

 

Torah Tech Guy does not claim ownership of your prompts. Except for our rights in the Services and any third-party material, we do not claim ownership of outputs generated specifically in response to your prompts.

We do not use Customer Organization content to train a generalized artificial-intelligence model unless that use is clearly disclosed and contractually authorized.

 

9. Privacy and Data Protection

Our handling of personal information is described in the Torah Tech Guy LLC Product Privacy Policy, available below.

When Torah Tech Guy processes personal information on behalf of a Customer Organization, that processing may also be governed by a Data Processing Addendum.

Customer Organizations are responsible for providing required notices, obtaining required permissions, and ensuring they have lawful authority to submit personal information to the Services.

 

10. Fees and Payment

Fees, billing frequency, usage limits, and payment terms are shown in the applicable Order Form, checkout page, or Customer Agreement.

 

Unless otherwise stated:

  • Subscription fees are billed in advance;

  • Fees are payable in United States dollars;

  • Fees do not include applicable taxes;

  • You are responsible for applicable sales, use, or similar taxes; and

  • Payment obligations for a committed subscription term are non-cancelable.

We may use a third-party payment provider. Your use of that provider may be subject to its separate terms.

Failure to pay undisputed amounts when due may result in suspension or termination after reasonable notice.

 

11. Automatic Renewal and Cancellation

If a subscription automatically renews, the renewal period, renewal price or pricing method, billing frequency, and cancellation process will be disclosed before purchase.

Unless the applicable ordering terms state otherwise, an automatically renewing subscription will continue for successive periods equal to the initial subscription period until canceled.

You may prevent renewal by canceling through:

  • The account-management tools provided with the Service;

  • The method stated on the applicable checkout page or Order Form; or

  • Written notice to david@torahtechguy.com.

Cancellation prevents future renewal charges. It does not ordinarily end the current paid or committed subscription term.

We will provide renewal reminders or additional cancellation options when required by applicable law.

12. Refunds

Except as stated in a Customer Agreement or required by law:

  • Fees already paid are nonrefundable;

  • Cancellation does not create a prorated refund;

  • Unused accounts, users, features, or subscription time are not refundable; and

  • One-time implementation, training, or custom-service fees are not refundable after the applicable work has begun.

If we permanently discontinue the principal paid Service during a prepaid term without providing a substantially comparable replacement, you may be entitled to a prorated refund for the unused portion of that term.

 

13. Free Trials and Beta Features

We may offer free trials, previews, pilot programs, or beta features.

Before a free trial converts into a paid subscription, we will disclose the applicable price, billing frequency, renewal terms, and cancellation method.

Beta or preview features may be incomplete, changed, suspended, or discontinued at any time. Unless expressly agreed otherwise, beta features are provided without service commitments and should not be used for critical operations.

14. Third-Party Services and Integrations

The Services may connect with products or services operated by third parties.

If you or a Customer Organization enables an integration, you authorize Torah Tech Guy to exchange information with that third-party service as necessary to provide the integration.

Torah Tech Guy does not control and is not responsible for:

  • Third-party services;

  • Their availability or security;

  • Changes made by third-party providers;

  • Their handling of information after receiving it; or

  • Losses caused by a third-party service.

Your use of a third-party service is governed by your agreement with that provider.

 

15. Ownership of the Services

Torah Tech Guy and its licensors retain all rights, title, and interest in:

  • The Services and underlying software;

  • Product designs, interfaces, workflows, and documentation;

  • Technology, methodologies, and know-how;

  • Updates, improvements, and derivative works; and

  • Related trademarks and intellectual-property rights.

 

These Terms do not transfer ownership of the Services or Torah Tech Guy intellectual property.

 

If you provide suggestions or feedback, Torah Tech Guy may use that feedback without restriction or payment, provided we do not publicly identify you without permission.

 

16. Service Changes, Maintenance, and Availability

We may maintain, update, improve, or modify the Services over time.

 

We may change or discontinue a feature when it is:

  • Obsolete or no longer reasonably supportable;

  • Dependent on an unavailable third-party service;

  • A security or legal risk; or

  • Replaced by substantially similar functionality.

 

We may temporarily limit access for maintenance, security, legal compliance, or circumstances outside our reasonable control.

 

Unless a Customer Agreement includes a specific service-level commitment, we do not guarantee a particular level of uptime, response time, or resolution time.

 

17. Suspension and Termination

We may suspend or limit access when reasonably necessary to:

  • Address a security threat;

  • Prevent unlawful, fraudulent, or harmful activity;

  • Protect the Services or other users;

  • Comply with law or a binding governmental request;

  • Address a material violation of these Terms; or

  • Address overdue undisputed fees after reasonable notice.

 

When practicable, we will provide notice and limit the suspension to the affected user, account, feature, or activity.

 

You may stop using the Services at any time. Stopping use does not eliminate payment obligations for an existing committed subscription term.

 

Upon termination:

  • Your right to use the affected Services ends;

  • Outstanding fees become due;

  • Customer Content will be handled according to the applicable Customer Agreement and Privacy Policy; and

  • Provisions intended by their nature to survive will remain effective.

 

18. Disclaimers

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A CUSTOMER AGREEMENT, THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

 

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORAH TECH GUY DISCLAIMS IMPLIED OR STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

 

WE DO NOT WARRANT THAT:

  • THE SERVICES WILL ALWAYS BE AVAILABLE, SECURE, OR ERROR-FREE;

  • EVERY DEFECT WILL BE CORRECTED;

  • THE SERVICES WILL WORK WITH EVERY DEVICE OR THIRD-PARTY SYSTEM; OR

  • AUTOMATED OR AI-GENERATED RESULTS WILL BE ACCURATE, COMPLETE, UNIQUE, OR SUITABLE FOR A PARTICULAR PURPOSE.

 

Nothing in these Terms excludes a warranty or right that cannot legally be excluded.

 

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TORAH TECH GUY WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOSS OF GOODWILL, LOSS OF ANTICIPATED SAVINGS, BUSINESS INTERRUPTION, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES.

FOR A PAID SERVICE, TORAH TECH GUY’S TOTAL LIABILITY ARISING FROM THAT SERVICE WILL NOT EXCEED THE AMOUNT PAID OR PAYABLE FOR THE AFFECTED SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

FOR A FREE SERVICE, TORAH TECH GUY’S TOTAL LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS.

These limitations apply regardless of the legal theory and even if we were advised that damages were possible.

 

The limitations do not apply to fraud, willful misconduct, gross negligence, or liability that cannot legally be limited.

 

A Customer Agreement may provide different liability terms.

 

20. Indemnification

To the extent permitted by law, you agree to defend and indemnify Torah Tech Guy and its owner, employees, contractors, and representatives against third-party claims arising from:

  • Customer Content you submit without sufficient rights or authorization;

  • Your unlawful or unauthorized use of the Services;

  • Your violation of another person’s intellectual-property, privacy, or other rights; or

  • Your material violation of these Terms.

 

This section does not require an individual Authorized User to indemnify Torah Tech Guy for actions taken solely at the direction of a Customer Organization when the individual did not violate these Terms.

 

A Customer Agreement may provide different indemnification terms.

 

21. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules.

Before filing a lawsuit, you and Torah Tech Guy agree to attempt in good faith to resolve the dispute through informal discussions.

 

Any legal action must be brought in the state or federal courts located in Palm Beach Count, Florida, and the parties consent to those courts’ jurisdiction and venue.

 

Either party may seek immediate injunctive relief when reasonably necessary to protect confidential information, intellectual property, personal information, or system security.

TO THE EXTENT PERMITTED BY LAW, EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY.

22. Changes to These Terms

We may update these Terms to reflect changes in the Services, business practices, or legal requirements.

We will update the “Last Updated” date when changes are made. If a change materially affects existing users, we will provide reasonable notice through the Services, by email, or through another appropriate method.

 

For an existing committed paid subscription, a material change will ordinarily take effect at renewal unless:

  • The Customer Organization agrees to it earlier;

  • The change is required by law;

  • The change addresses an urgent security issue; or

  • The applicable Customer Agreement provides otherwise.

Continued use after updated Terms take effect constitutes acceptance of the updated Terms.

23. Electronic Communications

You agree that we may provide agreements, notices, invoices, renewal information, and other communications electronically.

Electronic acceptance and signatures may be used to form and prove an agreement.

You are responsible for keeping your contact information current.

 

24. General Terms

Assignment. You may not transfer these Terms or an account without our written permission. We may transfer these Terms in connection with a merger, reorganization, financing, or sale of our business.

Force majeure. Neither party is responsible for delays caused by circumstances beyond its reasonable control. This does not excuse payment obligations for Services already provided.

Independent parties. These Terms do not create a partnership, employment, agency, franchise, or joint-venture relationship.

No waiver. Failure to enforce a provision is not a waiver.

Severability. If a provision is unenforceable, the remaining provisions remain effective.

No third-party beneficiaries. These Terms do not create rights for anyone other than the parties.

Entire agreement. These Terms, the Privacy Policy, and any applicable Customer Agreement constitute the agreement concerning the Services.

1. Introduction
Torah Tech Guy LLC (“Torah Tech Guy,” “we,” “our,” or “us”) designs, hosts, supports, and maintains cloud-based software applications and related technology services.


This Privacy Policy explains how personal information is handled through software applications and services provided by Torah Tech Guy (collectively, the “Services”).


The information processed through a particular Service depends on its purpose, features, configuration, and the organization using it.

 

2. Customer Organizations
Many of our Services are provided to businesses, schools, synagogues, nonprofit organizations, community organizations, and other customers (“Customer Organizations”).
For information submitted to a Service by or for a Customer Organization:

  • The Customer Organization ordinarily determines what information is collected;

  • The Customer Organization determines why the information is used and who may access it;

  • Torah Tech Guy processes the information to provide, host, maintain, secure, and support the Service; and

  • Questions about records maintained by a Customer Organization should ordinarily be directed to that organization.

Torah Tech Guy may separately determine how certain information is used for account administration, billing, customer support, security, fraud prevention, legal compliance, and management of our business.

 

3. Information We Process
Depending on the Service and how it is configured, we may process the following categories of information.

 

Account and Contact Information
This may include:

  • Names;

  • Email addresses;

  • Telephone numbers;

  • Organization names;

  • Job titles and organizational roles;

  • Account credentials;

  • Communication preferences; and

  • Billing and administrative contact information.

 

Customer and User Content
Customer Organizations and users may submit information such as:

  • Messages and announcements;

  • Documents and files;

  • Photos, audio, and videos;

  • Comments, notes, and observations;

  • Forms and responses;

  • Scheduling and event information;

  • Workflow records;

  • Customer, employee, member, student, participant, or program records; and

  • Other content selected by the Customer Organization or user.

 

Support and Communications
When someone contacts us, we may receive:

  • Contact information;

  • Support requests;

  • Messages and correspondence;

  • Screenshots or files provided for troubleshooting; and

  • Information about the relevant account, Service, or technical issue.

 

Technical and Usage Information
When a Service is used, we may receive:

  • IP addresses;

  • Browser and device information;

  • Login activity;

  • Dates and times of activity;

  • Features used;

  • Error and diagnostic information;

  • Security and audit logs; and

  • Cookie or session information.

 

Payment Information
When a Customer pays Torah Tech Guy, payment information may be processed by a third-party payment provider.
We generally receive transaction details, billing status, and limited payment information rather than complete payment-card numbers.

 

4. How We Use Information
Depending on the Service, we may use personal information to:

  • Provide and operate the Services;

  • Create and manage accounts;

  • Authenticate users and control access;

  • Perform functions requested by users and Customer Organizations;

  • Host and process customer-submitted content;

  • Provide implementation, training, maintenance, and support;

  • Communicate about accounts, billing, security, and service updates;

  • Diagnose errors and improve reliability;

  • Prevent fraud, misuse, and security incidents;

  • Maintain security and activity records;

  • Comply with legal obligations;

  • Enforce our agreements; and

  • Protect our rights and the safety of users and others.

 

We do not sell personal information.
We do not use customer-submitted content for targeted or cross-context behavioral advertising.

 

5. Artificial-Intelligence Features
Some Services may include features powered by artificial intelligence.
When an AI feature is used, information submitted to that feature may be processed by Torah Tech Guy and an AI service provider to generate the requested response or perform the requested task.

 

AI processing may include:

  • Analyzing prompts or instructions;

  • Processing documents or other submitted content;

  • Generating text, summaries, recommendations, classifications, or other output; and

  • Monitoring for misuse, security threats, or technical problems.

 

We do not use Customer Organization content to train a generalized artificial-intelligence model unless that use is clearly disclosed and contractually authorized.
Users should not submit sensitive information to an AI feature unless the Customer Organization has authorized that use.

 

6. How We Disclose Information
We may disclose information in the following circumstances.

 

Customer Organizations and Authorized Users
Information may be made available to the Customer Organization responsible for the account and to users authorized according to their roles, permissions, or relationships.

 

Service Providers
We may use companies that provide services such as:

  • Cloud hosting and database services;

  • Authentication;

  • File storage;

  • Email and messaging delivery;

  • Payment processing;

  • Error monitoring;

  • Customer support;

  • Analytics; and

  • Artificial-intelligence processing.

 

These providers may process information as necessary to provide their services to us.
When required, we contractually restrict service providers’ processing of personal information.

 

Customer-Directed Integrations
If a Customer Organization enables an integration or directs information to be sent to another service, information may be disclosed to that service.

 

The third party’s terms and privacy practices govern its subsequent handling of the information.

 

Legal and Safety Reasons
We may disclose information when we reasonably believe disclosure is necessary to:

  • Comply with law, legal process, or a binding governmental request;

  • Protect the rights, safety, or security of users or others;

  • Investigate fraud, misuse, or a security incident; or

  • Establish, exercise, or defend legal claims.

 

Business Transactions
Information may be transferred in connection with a merger, financing, acquisition, reorganization, or sale of some or all of our business. Any recipient will be subject to applicable confidentiality and legal requirements.

 

7. Cookies and Similar Technologies
Our Services may use cookies or similar technologies to:

  • Keep users signed in;

  • Maintain user sessions;

  • Remember preferences;

  • Protect accounts;

  • Prevent fraud;

  • Diagnose technical problems; and

  • Understand Service performance and usage.

Some cookies are necessary for the Services to function.
If we use nonessential advertising or analytics technologies, we will provide any notice and choices required by applicable law.

 

8. Data Retention
Retention periods vary according to:

  • The Service being used;

  • The Customer Organization’s instructions;

  • The type of information;

  • The duration of the customer relationship;

  • Operational and security requirements; and

  • Applicable legal obligations.

 

Customer-controlled information is generally retained:

  • While the applicable customer account remains active;

  • As instructed by the Customer Organization;

  • For any export or deletion period stated in the applicable agreement; and

  • In backups until removed through ordinary backup cycles.

We may retain account, billing, support, security, and legal records for as long as reasonably necessary for the purposes described in this Privacy Policy.
Information may be retained longer when required by law, needed to resolve a dispute, or necessary to prevent fraud or protect the Services.

 

9. Security
We use reasonable administrative, technical, and organizational safeguards designed to protect personal information.
Depending on the Service, these safeguards may include:

  • Authenticated user accounts;

  • Role-based access controls;

  • Encrypted network communications;

  • Restricted administrative access;

  • Security and activity logging;

  • Monitoring and incident-response procedures;

  • Backups; and

  • Professionally managed cloud infrastructure.

No system can guarantee absolute security. Users are responsible for protecting their credentials, using available security features, and promptly reporting suspected unauthorized access.

 

10. Privacy Choices and Rights
Depending on applicable law, individuals may have the right to:

  • Request access to personal information;

  • Request correction of inaccurate information;

  • Request deletion;

  • Obtain a portable copy;

  • Restrict or object to certain processing;

  • Withdraw consent when processing is based on consent; or

  • Appeal a decision concerning a privacy request.

 

Information Controlled by a Customer Organization
If information was submitted by or for a Customer Organization, the request should first be directed to that organization.
Because the Customer Organization controls the relevant records, Torah Tech Guy may refer the request to the Customer Organization or assist the organization in responding.

 

Information Controlled by Torah Tech Guy
Requests concerning account, billing, support, website, or other information controlled directly by Torah Tech Guy may be submitted using the contact information below.
We may need to verify the requester’s identity and authority before responding. Privacy rights may be subject to exceptions under applicable law.

 

11. Children and Student Information
Our Services are generally licensed to Customer Organizations rather than offered directly to children for personal or recreational use.
A Customer Organization may use a Service to manage information concerning children or students. In those circumstances:

  • The Customer Organization determines what information is collected;

  • The Customer Organization determines how the information is used;

  • Torah Tech Guy processes the information to provide the contracted Service;

  • Access is provided according to the Customer Organization’s instructions and configured permissions; and

  • Parents and guardians should direct access or correction requests to the Customer Organization.

The Customer Organization is responsible for obtaining any consent and providing any notice required for its use of the Service.

 

12. International Processing
Torah Tech Guy and its service providers may process information in the United States and other countries where they operate.
When applicable law requires a particular safeguard for an international transfer, we will use an appropriate legal mechanism.

 

13. Changes to This Policy
We may update this Privacy Policy to reflect changes in our Services, practices, service providers, or legal obligations.
We will update the “Last Updated” date when changes are made. Material changes may also be communicated through the affected Service, by email, or through another appropriate method.
